Bank of Southern California N.A. Announces First Quarter 2018 Results

SAN DIEGO, Calif. /ScoopCloud/ -- Bank of Southern California, N.A. (OTC Pink: BCAL / OTCMKTS:BCAL) announced quarterly earnings of $1,072,303 for the first quarter of 2018, a 51% increase compared to $710,022 for the first quarter of 2017. Results for the quarter ended March 31, 2018, include approximately $320 thousand in expenses related to the pending acquisition of Americas United Bank (OTC Pink: AUNB). As previously announced, the Bank also completed a private placement offering of common stock of approximately $26 million during March 2018.

"Building from the successes of 2017, Bank of Southern California had a strong start to 2018. Our loans and deposits grew 17% and 16%, respectively, compared to the first quarter of 2017, while net interest income grew 24%. In the first quarter, the Bank was also recognized as a top SBA 7(a) lender by the San Diego District Office of the Small Business Loan Administration and was awarded a Super Premier Performing Bank status by The Findley Reports," commented Nathan Rogge, President and CEO of Bank of Southern California.

Total assets at March 31, 2018, were $522 million, up 9% from $480 million at December 31, 2017, and up 21% from $430 million at March 31, 2017. Total loans increased to $409 million at March 31, 2018, compared to $399 million and $349 million at December 31, 2017, and March 31, 2017, respectively, while total deposits were $444 million at March 31, 2018, compared to $407 million at December 31, 2017, and $383 million at March 31, 2017.

"I am delighted that we continued to organically grow our loan and deposit portfolios in San Diego County, the Coachella Valley, and Orange County in the first quarter, when much of our energy was focused on planning for the acquisition of Americas United Bank (AUNB), as well as successfully completing a $26 million capital offering," concluded Rogge.

(OTC Pink: AUNB), today announced the signing of a definitive agreement and plan of merger (the "Agreement") whereby Americas United Bank will merge with and into Bank of Southern California. The merger is subject to customary closing conditions, including the receipt of all regulatory approvals and the approval of the shareholders of AUB and BCAL, and is expected to close in the third quarter of 2018.

Additionally, directors and executive officers of AUB have entered into agreements committing to vote their shares in favor of the transaction. The transaction is valued at approximately $44.1 million, based on BCAL's stock price per share of $14.75.

Under the terms of the Agreement, AUNB shareholders will receive $7 in cash and 0.4746 shares of BCAL common stock, or $14 per share, for each share of AUNB common stock that they own as of the closing date of the merger. In order to support the operations of the combined Bank following the merger, Bank of Southern California has received binding commitments from investors pursuant to which it will raise $20 million.

The transaction is expected to be immediately accretive to BCAL's earnings per share in 2018 (excluding transaction costs). The pro forma combined Bank will have approximately 8.3 million shares outstanding, representing a prospective market capitalization of approximately $123 million based on a per share valuation of BCAL's stock of $14.75.

The merger combines two profitable Southern California franchises with similar core operating philosophies and cultures. Headquartered in San Diego, Calif., Bank of Southern California currently operates eight locations in San Diego County, the Coachella Valley in Riverside County, and Orange County. Americas United Bank is headquartered in Glendale, CA, with four branches located in the greater Los Angeles area. Most recently, Ms. Gonzalez served the Coachella Valley community as a Deputy Sheriff for the Riverside County Sheriff's Department, following a successful eleven-year career at El Paseo Bank.

"We are extremely excited to welcome Luz back home to the Rancho Mirage branch and reconnecting her with her former customers," commented Pamela Isaacson, Executive Vice President and Chief Administrative Officer.

"Luz had always had a fascination with law enforcement, but found that her passion for banking and the relationships she had with her customers was much stronger," concluded Isaacson.
